1. Agreement to Terms

By accessing or using AdWIQ ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

AdWIQ is an AI-powered SaaS (Software as a Service) platform that provides autonomous advertising performance monitoring and intelligent alerting. Our platform combines real-time ad data tracking with AI-driven anomaly detection to help businesses proactively manage their advertising campaigns.

AI-Powered Ad Monitoring & Alerts (Primary Service):

  • Autonomous 24/7 Monitoring: AI continuously analyzes your Meta Ads campaigns around the clock
  • Intelligent Anomaly Detection: Real-time identification of performance issues including:
    • CPA (Cost Per Acquisition) spikes
    • ROAS (Return on Ad Spend) drops
    • CTR (Click-Through Rate) declines
    • Budget anomalies and unusual spending patterns
    • Conversion rate changes
    • Impression and reach fluctuations
  • Severity-Scored Alerts: Each detected issue receives a severity score (1-10 scale) indicating urgency
  • AI-Generated Insights: Automated analysis and actionable recommendations for resolving issues
  • Multi-Timeframe Analysis: Compare performance across Today, Yesterday, 7/14/30/60/90 days, and All time
  • Customizable Alert Thresholds: Configure when you want to be notified based on your business needs
  • Activity Logging: Complete audit trail of all AI detections, analyses, and notifications sent
  • Recipient Management: Add and manage multiple team members to receive alerts

Advertising Platform Integration:

  • Meta Ads (Facebook/Instagram): OAuth integration with full access to campaign data via Meta Marketing API
  • Performance Metrics: Automated fetching of real-time advertising campaign data including:
    • Campaign, ad set, and ad-level performance
    • Spend, impressions, clicks, conversions
    • Cost metrics (CPC, CPM, CPA)
    • ROAS and conversion values
    • Creative performance data
  • Automated Sync: Regular data refresh to ensure AI has latest performance information
  • Multi-Account Support: Connect and monitor multiple ad accounts simultaneously

Multi-Channel Notifications:

  • WhatsApp: Instant alerts via WhatsApp Business API (Meta-compliant templates)
  • Email: Professional email notifications with detailed performance summaries
  • SMS: Text message alerts for critical issues (optional)
  • Telegram: Bot-based messaging for instant team notifications
  • Slack: Workspace integrations with rich formatting
  • Multi-Recipient Support: Configure different notification channels for different team members
  • Alert Timing: Notifications sent in real-time when anomalies are detected

Dashboard & Reporting:

  • Unified Dashboard: View all connected ad accounts and their AI-monitored status
  • Activity Feed: Real-time log of all AI detections and alerts sent
  • Performance Metrics: Visual representations of key advertising metrics
  • Alert History: Review past anomalies and AI recommendations

3. Eligibility

3.1 Age Requirement

You must be at least 18 years old to use AdWIQ. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Business Use

AdWIQ is intended for business and professional use. You represent that you are using the Service on behalf of a legitimate business or organization.

3.3 Legal Capacity

You represent that you have the legal authority to enter into these Terms and to use the Service in compliance with all applicable laws.


4. Account Registration

4.1 Account Creation

To use AdWIQ, you must:

  • Create an account via Clerk authentication
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

4.2 Account Responsibility

You are responsible for:

  • All activity that occurs under your account
  • Maintaining the confidentiality of your password
  • Any actions taken by users you authorize
  • Compliance with these Terms

4.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent activity
  • Your account remains inactive for 12+ months
  • Required by law
  • You fail to pay fees (if applicable)

5. Acceptable Use Policy

5.1 Permitted Uses

You may use AdWIQ to:

  • Connect your advertising accounts via OAuth
  • Monitor your Meta Ads campaign performance with AI assistance
  • Receive real-time alerts about advertising anomalies and performance issues
  • Analyze advertising performance metrics and trends
  • Get AI-generated insights and recommendations for campaign optimization
  • Configure alert thresholds based on your business requirements
  • Manage multiple ad accounts and recipients for notifications
  • Review activity logs and alert history
  • Integrate notifications with your business communication channels (WhatsApp, Email, SMS, Telegram, Slack)
  • Use AI analysis to make informed decisions about ad campaign management

5.2 Prohibited Uses

You may NOT use AdWIQ to:

Illegal Activities:

  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Engage in fraud or deception
  • Facilitate illegal transactions

Harmful Content:

  • Monitor advertising campaigns that promote hate speech, violence, or illegal activities
  • Use the service for campaigns that violate advertising platform policies
  • Send spam or unsolicited communications to recipients
  • Advertise illegal products or services

System Abuse:

  • Attempt to hack, exploit, or compromise the Service
  • Reverse engineer or decompile our software or AI models
  • Overwhelm our systems with excessive API requests
  • Share your account credentials with unauthorized parties
  • Manipulate or interfere with AI detection algorithms
  • Create fake anomalies or alerts

AI & Data Misuse:

  • Use AI-generated insights to create competing AI products
  • Extract or replicate our AI models, prompts, or algorithms
  • Sell or redistribute AI insights to third parties without authorization
  • Use the service to train competing machine learning models
  • Attempt to reverse engineer AI decision-making processes
  • Misuse advertising data in violation of Meta's platform policies

Privacy Violations:

  • Connect ad accounts you don't own or aren't authorized to access
  • Share advertising data with unauthorized parties
  • Fail to comply with GDPR, CCPA, or other privacy laws
  • Violate Meta's data use policies or advertising terms
  • Misuse or sell advertising performance data

Competitive Activities:

  • Use the Service to build a competing AI monitoring product
  • Copy our AI features, prompts, or business model
  • Scrape our website, API, or AI outputs
  • Benchmark our AI performance to build competitive products

5.3 Enforcement

Violations may result in:

  • Warning notification
  • Temporary suspension
  • Permanent account termination
  • Legal action
  • Reporting to authorities

6. AI Monitoring and Data Processing

6.1 How AI Monitoring Works

Data Collection:

  • We fetch your Meta Ads campaign data via authorized OAuth access
  • Data is retrieved at regular intervals to ensure real-time monitoring
  • All data retrieval complies with Meta's API rate limits and policies

AI Analysis:

  • Our AI models analyze your advertising performance metrics continuously
  • Anomaly detection algorithms compare current performance against historical baselines
  • Multi-timeframe analysis identifies trends and unusual patterns
  • AI generates severity scores (1-10) based on the impact of detected issues

Alert Generation:

  • When anomalies exceed configured thresholds, alerts are generated
  • AI provides context, insights, and recommendations for each alert
  • Alerts are sent to configured recipients via selected notification channels
  • All AI activity is logged for audit and review purposes

6.2 Your Responsibilities

Ad Account Authorization:

  • Only connect ad accounts you own or are authorized to access
  • Ensure you have permission to share ad data with team members who will receive alerts
  • Comply with Meta's Advertising Policies and Platform Terms
  • Monitor connected ad accounts for unauthorized access

Recipient Management:

  • Only add recipients who have consented to receive notifications
  • Verify contact information (phone numbers, email addresses) is accurate
  • Ensure recipients understand they will receive AI-generated alerts about ad performance
  • Remove recipients who no longer need access

Alert Configuration:

  • Set alert thresholds appropriate for your business needs
  • Review AI-generated alerts and take appropriate action
  • Don't ignore critical alerts (severity 8-10)
  • Adjust thresholds if receiving too many or too few alerts

6.3 Data Ownership and Usage

Your Data:

  • You retain ownership of all advertising data retrieved from your ad accounts
  • You control which ad accounts are connected and monitored
  • You can disconnect ad accounts and delete data at any time

Our Data:

  • We own the Service, AI models, algorithms, and infrastructure
  • AI-generated insights and recommendations are our intellectual property
  • We may use aggregated, anonymized data to improve AI models

Shared Data:

  • Aggregated, anonymized advertising trends may be used for research and improvement
  • No individual ad account data is shared with third parties without your consent
  • AI training may use anonymized patterns (never identifiable ad account data)

7. Advertising Platform Integration

7.1 OAuth Authorization

When connecting advertising accounts, you:

  • Grant AdWIQ permission to access your ad account data via OAuth
  • Authorize us to fetch advertising metrics and campaign information
  • Can revoke access at any time by disconnecting the account
  • Remain responsible for compliance with platform terms of service

7.2 Third-Party Platform Terms

You must comply with the terms and policies of each advertising platform you connect:

Meta Ads (Facebook/Instagram) - Currently Supported:

Additional Platforms: AdWIQ currently supports Meta Ads (Facebook/Instagram) only. We may add support for additional advertising platforms in the future, including Google Ads, LinkedIn Ads, and TikTok Ads. Any new platform integrations will be announced and will require separate OAuth authorization.

7.3 Data Usage and Restrictions

Permitted Use of Ad Data:

  • View advertising performance metrics in your dashboard
  • Receive AI-generated alerts and insights about campaign performance
  • Analyze campaign effectiveness with AI assistance
  • Share AI-generated alerts with authorized team members and recipients
  • Use AI recommendations to optimize your advertising campaigns
  • Review historical performance data and anomaly patterns

Prohibited Use of Ad Data:

  • Sell or license ad performance data to third parties
  • Use data to build competing AI monitoring or advertising products
  • Share data with unauthorized parties
  • Violate Meta's advertising platform policies or API terms
  • Aggregate data across multiple unrelated ad accounts without authorization
  • Use advertising data or AI insights for purposes beyond campaign optimization

7.4 Token Management

OAuth Tokens:

  • We securely store your OAuth access and refresh tokens
  • Tokens are encrypted at rest in our database
  • We automatically refresh tokens before expiration
  • You can revoke tokens by disconnecting your ad account

Your Responsibilities:

  • Keep your advertising account credentials secure
  • Don't share OAuth authorization with unauthorized parties
  • Monitor ad account connections for suspicious activity
  • Disconnect unused ad accounts

7.5 Data Accuracy

No Warranty on Third-Party Data:

  • Advertising metrics are provided by third-party platforms "as-is"
  • We do not guarantee accuracy or completeness of ad data
  • Discrepancies may occur due to platform reporting delays
  • Always verify critical data with the source platform

7.6 Platform Changes

You acknowledge that:

  • Advertising platforms may change their APIs without notice
  • Features may become temporarily unavailable during platform updates
  • We will make reasonable efforts to maintain compatibility
  • Some metrics may become unavailable if platforms deprecate them

8. Multi-Channel Notifications

8.1 Notification Timing and Delivery

When Notifications Are Sent:

  • Real-time alerts when AI detects anomalies exceeding configured thresholds
  • Immediate delivery when severity scores reach critical levels (8-10)
  • Alerts sent to all configured recipients for the affected ad account
  • No scheduled batch sending - all alerts are sent as soon as detected

Alert Preferences:

  • Configure notification channels per recipient (WhatsApp, Email, SMS, Telegram, Slack)
  • Set alert threshold levels to control when you want to be notified
  • Manage multiple recipients with different notification preferences
  • Enable/disable notifications per channel without removing recipients

8.2 WhatsApp Notifications

Our Service uses the official WhatsApp Business API provided by Meta. By using WhatsApp notifications, you agree to:

  • Meta's Terms of Service
  • WhatsApp Business Terms
  • Meta's acceptable use policies
  • WhatsApp Business API Terms

Recipient Consent: You must:

  • Obtain explicit consent from WhatsApp recipients before adding them
  • Only add phone numbers that have WhatsApp installed
  • Verify phone numbers are correct and properly formatted (E.164 format)
  • Only send business-related notifications (ad performance alerts)
  • Honor opt-out requests immediately

Message Templates:

  • All WhatsApp messages use Meta-approved message templates
  • Templates comply with WhatsApp Business Policy
  • Messages include opt-in confirmation for new recipients
  • Alert messages contain ad performance data and AI insights

Message Limits:

  • Messages are subject to Meta's rate limits and quality rating requirements
  • Delivery is not guaranteed 100% (dependent on Meta's systems)
  • Quality rating affects delivery success
  • Messages may be delayed during high volume or platform issues

8.3 Email Notifications

Email Delivery:

  • We use third-party email service providers (Resend or similar)
  • Professional HTML formatting for ad performance alerts
  • Delivery depends on recipient spam filters and email provider policies
  • We are not responsible for emails marked as spam or blocked by recipient servers
  • Email alerts include detailed performance summaries and AI insights

Email Content:

  • Subject lines clearly indicate alert severity and affected campaign
  • Body contains performance metrics, anomaly details, and AI recommendations
  • Links to dashboard for detailed analysis
  • Unsubscribe functionality (per email compliance laws)

8.4 SMS Notifications

SMS Delivery:

  • Optional channel for critical alerts (severity 8-10)
  • We use third-party SMS providers
  • Standard SMS rates may apply to recipients (carrier charges)
  • Delivery depends on carrier network availability
  • Recipients must have valid mobile numbers
  • SMS messages are brief summaries with links to full details

SMS Limitations:

  • Limited to 160 characters per message
  • May be split into multiple messages for longer alerts
  • No rich formatting or images
  • Delivery confirmation not guaranteed

8.5 Telegram Notifications

Telegram Bot:

  • Requires recipients to have Telegram accounts
  • Recipients must start a conversation with the AdWIQ bot and provide their Telegram chat ID
  • Messages are sent via Telegram Bot API
  • Subject to Telegram's terms and rate limits
  • Supports rich formatting and inline links

Telegram Setup:

  • Recipients must authorize the AdWIQ bot
  • Chat ID must be configured in recipient settings
  • Instant message delivery when Telegram is online
  • Messages appear in Telegram notifications

8.6 Slack Notifications

Slack Integration:

  • Requires valid Slack webhook URLs or bot integration
  • Webhooks must be authorized by workspace admins
  • Subject to Slack API rate limits
  • Messages formatted with Slack blocks for rich content and visual appeal

Slack Features:

  • Rich formatting with color-coded severity indicators
  • Inline metrics and performance data
  • Action buttons for quick access to dashboard
  • Thread support for related alerts

8.7 Notification Content

AI-generated alert messages may contain:

  • Ad Account Information: Account name, ID, currency
  • Campaign Details: Campaign name, ID, objective, status
  • Performance Metrics: Spend, impressions, clicks, conversions, CPA, ROAS, CTR, CPM
  • Anomaly Details: What changed, by how much, compared to what timeframe
  • Severity Score: 1-10 scale indicating urgency
  • AI Insights: Analysis of why the anomaly occurred
  • Recommendations: AI-generated suggestions for addressing the issue
  • Timestamp: When the anomaly was detected
  • Historical Context: Performance trends and patterns

You agree this information is appropriate for delivery via the selected channels to authorized recipients.


9. Payment Terms

9.1 Pricing Plans

AdWIQ offers different pricing tiers:

  • Free Plan: Basic ad monitoring with limited features
  • Starter Plan: Essential AI monitoring for small businesses
  • Growth Plan: Enhanced features with real-time monitoring
  • Pro Plan: Advanced features with priority support

9.2 Billing

Subscription Billing:

  • Billed monthly or annually
  • Automatic renewal unless cancelled
  • Payments processed via Razorpay (secure payment gateway)
  • All fees are non-refundable except as required by law
  • Invoices sent to registered email address
  • Payment methods accepted: Credit/debit cards, UPI, net banking, wallets (via Razorpay)

Usage-Based Billing:

  • WhatsApp messages may incur additional fees (based on Meta's WhatsApp Business API pricing)
  • Additional charges for premium AI features (if applicable)
  • Billed at the end of each billing period
  • Detailed usage breakdown provided in billing dashboard

9.3 Price Changes

We reserve the right to change prices with:

  • 30 days notice to existing customers
  • Grandfathered pricing for current subscribers (optional)
  • No retroactive charges

9.4 Free Trial

If offered:

  • Duration will be specified
  • Credit card may be required
  • Automatically converts to paid plan unless cancelled
  • Full access during trial period

9.5 Refunds

Refunds are provided:

  • Within 30 days of initial purchase (first-time customers)
  • For service outages exceeding 10% of monthly uptime
  • At our sole discretion for extenuating circumstances

Refunds are NOT provided for:

  • Partial month usage
  • Account termination for Terms violation
  • Change of mind after 30 days
  • Third-party fees (WhatsApp API, SMS)

9. Intellectual Property

9.1 Our Ownership

AdWIQ and its original content, features, and functionality are owned by us and are protected by:

  • Copyright
  • Trademark
  • Patent
  • Trade secret
  • Other intellectual property laws

This includes:

  • Source code
  • Dashboard interface
  • API
  • Documentation
  • Brand assets
  • AI models and algorithms

9.2 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your business
  • Use our API within rate limits
  • Display our badge ("Powered by AdWIQ") if required by your plan

9.3 Restrictions

You may NOT:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile
  • Remove copyright or proprietary notices
  • Use our trademarks without permission
  • Frame or mirror our website
  • Create competing products based on our Service

9.4 Feedback

If you provide feedback, suggestions, or ideas:

  • You grant us unlimited rights to use them
  • We are not obligated to implement them
  • They become our intellectual property
  • No compensation is owed to you

10. Data and Privacy

10.1 Privacy Policy

Our Privacy Policy (available at PRIVACY_POLICY.md) explains how we collect, use, and protect your data.

By using AdWIQ, you agree to our Privacy Policy.

10.2 Data Processing

We process data as:

  • Data Controller: For your account information and ad performance data
  • Data Processor: For notifications sent on your behalf

10.3 Your Obligations

You must:

  • Have legal right to connect and access advertising accounts
  • Obtain necessary consents from notification recipients
  • Comply with privacy laws (GDPR, CCPA, etc.)
  • Provide privacy notices to notification recipients
  • Honor data subject rights (access, deletion, etc.)
  • Comply with Meta's advertising platform policies

10.4 Data Security

We implement reasonable security measures, but:

  • No system is 100% secure
  • You are responsible for your own security practices
  • We are not liable for breaches beyond our control

10.5 AI and Machine Learning Data Usage

How We Use Data for AI:

  • Advertising performance data is analyzed by AI models to detect anomalies
  • AI models process metrics in real-time but do not permanently store raw ad data beyond necessary retention periods
  • Aggregated, anonymized patterns may be used to improve AI detection algorithms
  • AI insights and recommendations are generated based on your specific ad account data
  • No individual ad account data is used to train AI models without anonymization

AI Model Transparency:

  • AI decisions are based on statistical analysis and machine learning algorithms
  • Severity scores are calculated using predefined criteria and historical performance baselines
  • You can view the reasoning behind AI-generated alerts in the activity log
  • AI recommendations are suggestions only - final decisions remain with you

Data Retention for AI:

  • Historical performance data is retained to establish baselines and detect trends
  • Retention period aligns with our general data retention policy (see Privacy Policy)
  • You can request deletion of historical data, which may affect AI accuracy
  • AI-generated insights and activity logs are retained for audit purposes

10.6 Data Export and Deletion

You can:

  • Export your advertising data and AI insights in CSV or JSON format
  • View and export activity logs showing all AI detections and alerts
  • Disconnect ad accounts to stop data collection
  • Delete ad account connections and associated data
  • Request full account deletion (includes all data, AI insights, and activity logs)

Data Deletion Process:

  • Immediate: Access to Service and data is revoked
  • 30 days: Soft delete period (data recoverable upon request)
  • After 30 days: Permanent deletion from all systems including backups
  • OAuth tokens are revoked immediately upon disconnection

11. Service Availability

11.1 Uptime Guarantee

We strive for 99.9% uptime but do not guarantee uninterrupted service.

Scheduled Maintenance:

  • Announced 24 hours in advance
  • Typically performed during low-traffic periods
  • May result in temporary unavailability

Unscheduled Downtime:

  • May occur due to technical issues
  • We will work to restore service promptly
  • No SLA credits for free plans

11.2 Service Changes

We reserve the right to:

  • Modify or discontinue features
  • Update the tracking snippet
  • Change API endpoints (with notice)
  • Add or remove integrations

We will provide reasonable notice for material changes.

11.3 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy of AI-generated insights, recommendations, or severity scores
  • Completeness of anomaly detection (AI may miss some issues or generate false positives)
  • Success of implementing AI recommendations
  • Advertising performance outcomes based on AI suggestions

AI Disclaimer:

  • AI-generated alerts and insights are provided for informational purposes only
  • AI may not detect all anomalies or may generate false positives
  • Severity scores are estimates based on algorithms and may not reflect actual business impact
  • You are solely responsible for decisions made based on AI recommendations
  • Always verify AI insights with your own analysis and advertising platform data
  • We do not guarantee that following AI recommendations will improve advertising performance

12. Limitation of Liability

12.1 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADWIQ SHALL NOT BE LIABLE FOR:

Indirect Damages:

  • Lost profits or revenue from advertising campaigns
  • Lost business opportunities
  • Data loss
  • Goodwill or reputation damage
  • Consequential or incidental damages
  • Advertising budget wasted due to undetected anomalies or false positives
  • Business decisions made based on AI recommendations

AI-Specific Limitations:

  • Inaccurate AI insights, severity scores, or recommendations
  • Missed anomalies or undetected performance issues
  • False positive alerts or incorrect anomaly detection
  • Delays in alert delivery
  • Advertising performance losses despite AI monitoring
  • Reliance on AI-generated recommendations

Direct Damages: Our total liability is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

12.2 Exceptions

Limitations do not apply to:

  • Personal injury or death caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Violations of law that cannot be limited
  • Gross negligence or willful misconduct

12.3 Third-Party Services

We are not responsible for:

  • Clerk authentication issues
  • WhatsApp/Meta service disruptions (WhatsApp Business API)
  • Meta Marketing API outages, rate limits, or data accuracy
  • Database provider outages
  • AI/LLM provider outages or errors (OpenAI, Anthropic, etc.)
  • Third-party notification service disruptions (Email, SMS, Telegram, Slack)
  • Advertising platform changes that affect data availability
  • Internet connectivity issues
  • Razorpay payment processing issues

13. Indemnification

You agree to indemnify, defend, and hold harmless AdWIQ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights (including Meta, WhatsApp, advertising platforms)
  • Your advertising campaigns or content
  • Unauthorized access to ad accounts
  • Decisions made based on AI recommendations
  • Notifications sent to recipients without proper consent
  • Misuse of AI-generated insights or advertising data
  • Violation of Meta's Advertising Policies or Platform Terms
  • Data breaches or security issues on your end
  • Disputes with notification recipients or ad account stakeholders

14. Third-Party Services

14.1 Integrations

AdWIQ integrates with the following third-party services:

Authentication & Infrastructure:

  • Clerk (user authentication and account management)
  • Prisma (database ORM)
  • Vercel (hosting and deployment)
  • Neon/PostgreSQL (database)

Advertising Platforms:

  • Meta Marketing API (Facebook/Instagram Ads data)
  • Meta Business Suite (OAuth authorization)

AI & Machine Learning:

  • OpenAI (GPT models for AI insights and anomaly detection)
  • Anthropic Claude (alternative LLM for AI analysis)

Notification Services:

  • WhatsApp Business API (via Meta Cloud API)
  • Resend (email delivery)
  • Twilio (SMS delivery - optional)
  • Telegram Bot API (Telegram notifications)
  • Slack API (Slack workspace integrations)

Payment Processing:

  • Razorpay (payment gateway for subscriptions and billing)

You agree to comply with their respective terms of service. We are not responsible for changes, outages, or issues with these third-party services.

14.2 Third-Party Links
