1. Agreement to Terms
By accessing or using AdWIQ ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
Important: Please read these Terms carefully before using AdWIQ.
2. Description of Service
AdWIQ is a SaaS (Software as a Service) platform that provides:
Lead Tracking & Management:
- Form Tracking: JavaScript snippet to track form submissions on your website
- Lead Capture: Automatic collection of form submission data
- Dashboard: Web interface to view and manage captured leads
- Project Management: Organize multiple tracked websites
- UTM Tracking: Campaign attribution and analytics
Advertising Platform Integration:
- Ad Account Connection: OAuth integration with Meta Ads, Google Ads, LinkedIn Ads, TikTok Ads
- Performance Metrics: Automated fetching of advertising campaign data
- Automated Reports: Scheduled reports on ad performance and metrics
- Multi-Platform Support: Unified dashboard for all advertising accounts
Multi-Channel Notifications:
- WhatsApp: Instant alerts via WhatsApp Business API
- Email: Professional email notifications and reports
- SMS: Text message alerts
- Telegram: Bot-based messaging
- Slack: Workspace integrations
- Multi-User Support: Add team members to receive notifications
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use AdWIQ. By using the Service, you represent and warrant that you are at least 18 years of age.
3.2 Business Use
AdWIQ is intended for business and professional use. You represent that you are using the Service on behalf of a legitimate business or organization.
3.3 Legal Capacity
You represent that you have the legal authority to enter into these Terms and to use the Service in compliance with all applicable laws.
4. Account Registration
4.1 Account Creation
To use AdWIQ, you must:
- Create an account via Clerk authentication
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
4.2 Account Responsibility
You are responsible for:
- All activity that occurs under your account
- Maintaining the confidentiality of your password
- Any actions taken by users you authorize
- Compliance with these Terms
4.3 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent activity
- Your account remains inactive for 12+ months
- Required by law
- You fail to pay fees (if applicable)
5. Acceptable Use Policy
5.1 Permitted Uses
You may use AdWIQ to:
- Track legitimate form submissions on your websites
- Connect your advertising accounts via OAuth
- Fetch and analyze advertising performance metrics
- Generate and receive automated ad performance reports
- Receive notifications about new leads and ad metrics
- Manage and organize lead data
- Analyze lead sources and campaigns
- Integrate with your business workflows
5.2 Prohibited Uses
You may NOT use AdWIQ to:
Illegal Activities:
- Violate any laws or regulations
- Infringe intellectual property rights
- Engage in fraud or deception
- Facilitate illegal transactions
Harmful Content:
- Track forms containing hate speech or violence
- Collect sensitive personal information without consent (health data, financial data, etc.)
- Track children's information (under 13)
- Spam or unsolicited communications
System Abuse:
- Attempt to hack, exploit, or compromise the Service
- Use automated tools to generate fake leads
- Reverse engineer or decompile our software
- Overwhelm our systems with excessive requests
- Share your account credentials with unauthorized parties
Privacy Violations:
- Track users without proper consent
- Collect data from websites you don't own (without permission)
- Fail to display required privacy notices
- Violate GDPR, CCPA, or other privacy laws
- Misuse or sell lead data
Competitive Activities:
- Use the Service to build a competing product
- Copy our features or business model
- Scrape our website or API
5.3 Enforcement
Violations may result in:
- Warning notification
- Temporary suspension
- Permanent account termination
- Legal action
- Reporting to authorities
6. Tracking Snippet and Data Collection
6.1 Your Responsibilities
When using our tracking snippet, you must:
Consent:
- Obtain proper consent from website visitors
- Display clear privacy notices on your website
- Comply with cookie laws (GDPR, CCPA, etc.)
- Inform users about data collection
Transparency:
- Disclose use of third-party tracking (AdWIQ)
- Provide link to your privacy policy
- Explain how data will be used
- Offer opt-out mechanisms
Legal Compliance:
- Follow all applicable privacy laws
- Obtain necessary permissions
- Honor user preferences (Do Not Track, etc.)
- Maintain records of consent
6.2 Snippet Integration
The tracking snippet:
- Is provided "as-is"
- Should be placed in the
<head>section - Must not be modified or reverse-engineered
- Should include your unique project API key
- Will automatically detect forms on your pages
6.3 Data Ownership
Your Data: You retain ownership of all lead data collected Our Data: We own the Service, software, and infrastructure Shared Data: Aggregated, anonymized data may be used for analytics
7. Advertising Platform Integration
7.1 OAuth Authorization
When connecting advertising accounts, you:
- Grant AdWIQ permission to access your ad account data via OAuth
- Authorize us to fetch advertising metrics and campaign information
- Can revoke access at any time by disconnecting the account
- Remain responsible for compliance with platform terms of service
7.2 Third-Party Platform Terms
You must comply with the terms and policies of each advertising platform you connect:

7.3 Data Usage and Restrictions
Permitted Use of Ad Data:
- View advertising performance metrics in your dashboard
- Generate automated reports for your internal use
- Analyze campaign effectiveness
- Share reports with authorized team members
Prohibited Use of Ad Data:
- Sell or license ad performance data to third parties
- Use data to build competing advertising products
- Share data with unauthorized parties
- Violate advertising platform policies
- Aggregate data across multiple unrelated ad accounts
7.4 Token Management
OAuth Tokens:
- We securely store your OAuth access and refresh tokens
- Tokens are encrypted at rest in our database
- We automatically refresh tokens before expiration
- You can revoke tokens by disconnecting your ad account
Your Responsibilities:
- Keep your advertising account credentials secure
- Don't share OAuth authorization with unauthorized parties
- Monitor ad account connections for suspicious activity
- Disconnect unused ad accounts
7.5 Data Accuracy
No Warranty on Third-Party Data:
- Advertising metrics are provided by third-party platforms "as-is"
- We do not guarantee accuracy or completeness of ad data
- Discrepancies may occur due to platform reporting delays
- Always verify critical data with the source platform
7.6 Platform Changes
You acknowledge that:
- Advertising platforms may change their APIs without notice
- Features may become temporarily unavailable during platform updates
- We will make reasonable efforts to maintain compatibility
- Some metrics may become unavailable if platforms deprecate them
8. Multi-Channel Notifications
8.1 WhatsApp Notifications
Our Service uses the official WhatsApp Business API provided by Meta. By using WhatsApp notifications, you agree to:
- Meta's Terms of Service
- WhatsApp Business Terms
- Meta's acceptable use policies
Recipient Consent: You must:
- Obtain consent from WhatsApp recipients before adding them
- Only add phone numbers that have WhatsApp installed
- Verify phone numbers are correct
- Not add personal (non-business) phone numbers without permission
Message Limits:
- Messages are subject to Meta's rate limits
- Delivery is not guaranteed 100%
- Costs may apply (WhatsApp Business API fees)
- Messages may be delayed during high volume
8.2 Email Notifications
Email Delivery:
- We use third-party email service providers
- Delivery depends on recipient spam filters
- We are not responsible for emails marked as spam
- Professional formatting for ad reports and lead alerts
8.3 SMS Notifications
SMS Delivery:
- We use Twilio or similar SMS providers
- Standard SMS rates may apply to recipients
- Delivery depends on carrier network
- Recipients must have valid mobile numbers
8.4 Telegram Notifications
Telegram Bot:
- Requires recipients to have Telegram accounts
- Recipients must authorize the AdWIQ bot
- Messages are sent via Telegram Bot API
- Subject to Telegram's terms and rate limits
8.5 Slack Notifications
Slack Integration:
- Requires valid Slack webhook URLs
- Webhooks must be authorized by workspace admins
- Subject to Slack API rate limits
- Messages formatted with Slack blocks for rich content
8.6 Notification Content
Messages may contain:
- Lead contact information (name, email, phone)
- Form submission content
- Advertising metrics and performance data
- Campaign names and IDs
- Page URLs and timestamps
- UTM campaign parameters
- Project and account information
You agree this information is appropriate for delivery via the selected channels.
9. Payment Terms
9.1 Pricing Plans
AdWIQ offers different pricing tiers:
- Starter Plan: Basic lead tracking with limited events
- Growth Plan: Enhanced features and higher event limits
- Pro Plan: Advanced features with priority support
- Enterprise Plan: Custom solutions for large organizations

9.2 Billing
Subscription Billing:
- Billed monthly or annually
- Automatic renewal unless cancelled
- Payments processed via Stripe (future implementation)
- All fees are non-refundable except as required by law
Usage-Based Billing:
- WhatsApp messages may incur additional fees
- Overage charges apply for exceeded limits
- Billed at the end of each billing period
8.3 Price Changes
We reserve the right to change prices with:
- 30 days notice to existing customers
- Grandfathered pricing for current subscribers (optional)
- No retroactive charges
8.4 Free Trial
If offered:
- Duration will be specified
- Credit card may be required
- Automatically converts to paid plan unless cancelled
- Full access during trial period
8.5 Refunds
Refunds are provided:
- Within 30 days of initial purchase (first-time customers)
- For service outages exceeding 10% of monthly uptime
- At our sole discretion for extenuating circumstances
Refunds are NOT provided for:
- Partial month usage
- Account termination for Terms violation
- Change of mind after 30 days
- Third-party fees (WhatsApp API)
9. Intellectual Property
9.1 Our Ownership
AdWIQ and its original content, features, and functionality are owned by us and are protected by:
- Copyright
- Trademark
- Patent
- Trade secret
- Other intellectual property laws
This includes:
- Source code
- Tracking snippet
- Dashboard interface
- API
- Documentation
- Brand assets
9.2 Your License
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for your business
- Integrate the tracking snippet on your websites
- Use our API within rate limits
- Display our badge ("Powered by AdWIQ") if required by your plan
9.3 Restrictions
You may NOT:
- Copy, modify, or create derivative works
- Reverse engineer or decompile
- Remove copyright or proprietary notices
- Use our trademarks without permission
- Frame or mirror our website
- Create competing products based on our Service
9.4 Feedback
If you provide feedback, suggestions, or ideas:
- You grant us unlimited rights to use them
- We are not obligated to implement them
- They become our intellectual property
- No compensation is owed to you
10. Data and Privacy
10.1 Privacy Policy
Our Privacy Policy (available at PRIVACY_POLICY.md) explains how we collect, use, and protect your data.
By using AdWIQ, you agree to our Privacy Policy.
10.2 Data Processing
We process data as:
- Data Controller: For your account information
- Data Processor: For lead data collected on your behalf
10.3 Your Obligations
You must:
- Have legal right to collect the data
- Obtain necessary consents from end users
- Comply with privacy laws (GDPR, CCPA, etc.)
- Provide privacy notices to end users
- Honor data subject rights (access, deletion, etc.)
10.4 Data Security
We implement reasonable security measures, but:
- No system is 100% secure
- You are responsible for your own security practices
- We are not liable for breaches beyond our control
10.5 Data Export and Deletion
You can:
- Export your data in CSV format
- Delete individual leads
- Delete entire projects
- Request full account deletion
11. Service Availability
11.1 Uptime Guarantee
We strive for 99.9% uptime but do not guarantee uninterrupted service.
Scheduled Maintenance:
- Announced 24 hours in advance
- Typically performed during low-traffic periods
- May result in temporary unavailability
Unscheduled Downtime:
- May occur due to technical issues
- We will work to restore service promptly
- No SLA credits for free plans
11.2 Service Changes
We reserve the right to:
- Modify or discontinue features
- Update the tracking snippet
- Change API endpoints (with notice)
- Add or remove integrations
We will provide reasonable notice for material changes.
11.3 No Warranty
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Uninterrupted or error-free operation
12. Limitation of Liability
12.1 Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADWIQ SHALL NOT BE LIABLE FOR:
Indirect Damages:
- Lost profits or revenue
- Lost business opportunities
- Data loss
- Goodwill or reputation damage
- Consequential or incidental damages
Direct Damages: Our total liability is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
12.2 Exceptions
Limitations do not apply to:
- Personal injury or death caused by our negligence
- Fraud or fraudulent misrepresentation
- Violations of law that cannot be limited
- Gross negligence or willful misconduct
12.3 Third-Party Services
We are not responsible for:
- Clerk authentication issues
- WhatsApp/Meta service disruptions
- Database provider outages
- Your website or hosting problems
- Internet connectivity issues
13. Indemnification
You agree to indemnify, defend, and hold harmless AdWIQ, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of third-party rights
- Your website's content or privacy practices
- Lead data you collect
- Disputes with your end users
14. Third-Party Services
14.1 Integrations
AdWIQ integrates with:
- Clerk (authentication)
- Prisma (database)
- WhatsApp/Meta (notifications)
- Vercel (hosting)
You agree to comply with their respective terms of service.
14.2 Third-Party Links
Our Service may contain links to third-party websites. We are not responsible for:
- Their content or privacy practices
- Products or services they offer
- Your interactions with them
15. Termination
15.1 By You
You may terminate your account at any time by:
- Deleting your account in settings
- Contacting support
- Stopping payment for paid plans
Effect of Termination:
- Access to Service is immediately revoked
- Data is deleted per our retention policy (30 days)
- No refunds for partial months (except as stated)
15.2 By Us
We may terminate your account if:
- You violate these Terms
- You engage in fraudulent activity
- Required by law
- Your account is inactive for 12+ months
- You fail to pay fees
Notice:
- Immediate termination for serious violations
- 30 days notice for other reasons
- Email notification to registered address
15.3 Survival
The following provisions survive termination:
